MBO and MBI

Expert advice on management buyouts and buy-ins

Management buyouts and buy-ins are often a favourable exit strategy for business owners. If you're considering an MBO or MBI as either an owner or investor, we can provide expert advice.

Understand the true value of your business

Business valuations — how it works

The road to achieving the best sales outcome

Valuing a business is a complex process. A business valuation from Nash Advisory can give you an understanding of what you stand to gain. Here's how our analysis process works:

  • We identify key areas of strength and weakness, and scope out areas for improvement
  • We compare your business to others in the market along with similar sales results to gauge your relative strength
  • We fully explain how the results of this analysis can impact your valuation and saleability

The first step is to organise a free initial consultation with our team. Fill in the form and we will contact you to arrange a discovery call.

"Management buyouts are complex and involve a range of potential conflicts. We focus on the owners desired goals from a transaction, and lead a transaction that suits those goals."

Our process for MBOs and MBIs

Education

4 - 6 weeks

We ensure you understand what's involved in the MBO or MBI and take the time to understand all the details of your objectives.

  • Educate clients about the process
  • Explain different financial funding sources such as private equity and family offices
  • Engage with the owner of the business early to get an insight as to whether they are interested in selling down their equity or entirely
  • Prepare a valuation report about the business to ensure there is value in the transaction
  • Create a score card on the business and areas where there is unlocked value

Preparation & Research

4 - 12 weeks

There is great deal of work that needs to go into preparing for an MBO or MBI. We carefully work through all the steps involved.

  • Confirming the valuation is in line with the expectations of management
  • Speaking to investors early in the process to get an 'early indication' of whether they see value in partnering and backing the management team
  • Assessing growth opportunities and risks to the transaction

Marketing

6 weeks

We have a network of contacts and investors that are seeking to fund attractive MBO / MBI opportunities.

  • Contacting the most relevant investors
  • Sending proprietary documents and marketing materials
  • Managing enquiries
  • Sensing out the best candidates

Negotiation

4 weeks

The terms of your MBO / MBI need to be favourable. We can negotiate effectively with all relevant stakeholders to work with you to achieve the best result.

  • Investors send through a Term Sheet which includes conditions attached to the deal
  • Nash Advisory and investors exchange data and modelling
  • Work with the management to land on a favourable position regarding the Term Sheet
  • Signing of the Term Sheet

Diligence

6 - 10 weeks

Investors will need to take a closer look at the investment. This is a complex process which needs to be managed diligently.

This process will involve:

  • An RFI sent by interested parties
  • Lawyers engaged and legal documents are drafted and sent through
  • Further Q&As and site tours

BUYOUT VS BUY-IN

Management buyout vs buy-in

A management buyout (MBO) occurs when a company’s management team purchases the business from the current owners. A management buy-in (MBI) occurs when an external party purchases the business and installs a new management team.

Whether you intend to buy out your business or install new management teams in a business you’re investing in, Nash Advisory can offer you an unrivalled depth of experience to assist in a smooth transition.

  • Nash Advisory’s investor pool can help fund your leveraged management buyout process, and we can advise on debt financing strategies.
  • Our specialists can help valuate a business before you execute management buyouts or buy-ins, so you can prepare stronger strategies.
  • We can advise you on optimising your business post-MBO or utilising your remaining management team best post-MBI.

Management buyouts and buy-ins both occur under the same circumstances: a motivated party sees an opportunity to grow and develop its business. The only difference is whether that party is internal or external.
